Welcome to Ashley Madison (the "Service," "Site," or "App"). These Terms and Conditions ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Ruby Life Inc. ("we," "us," or "our"), the operator of the Ashley Madison platform. By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING AN AGREEMENT TO ARBITRATE AND A WAIVER OF CLASS ACTION RIGHTS.

1. Eligibility and Registration

1.1 Age Requirement: You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction of residence, whichever is older, to register for or use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.

1.2 Registration Accuracy: To access certain features of the Service, you must create an account. You agree to provide true, accurate, current, and complete information during the registration process and to update such information to keep it accurate. We reserve the right to suspend or terminate your account if we discover that any information provided is false, misleading, or incomplete.

1.3 Account Security: You are solely responsible for maintaining the confidentiality of your login credentials (username and password). You agree not to share your credentials with any third party. You are fully responsible for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized use of your account or any other breach of security.

1.4 Single Account Policy: You may only create one (1) account for your personal use. Creating multiple accounts or creating accounts on behalf of others is strictly prohibited and may result in immediate termination of all associated accounts.

2. Discretion and Nature of the Service

2.1 Purpose: Ashley Madison is designed as a platform for individuals seeking discreet connections, including those exploring non-monogamy, open relationships, or other alternative dating experiences. We do not guarantee that any user will find a match or achieve a specific outcome.

2.2 No Background Checks: WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON OUR USERS OR VERIFY THE STATEMENTS OF OUR USERS. We do not inquire into the backgrounds of our users or attempt to verify their identities or marital status. You agree to exercise caution and use your best judgment when interacting with other users, both online and offline. You are solely responsible for your interactions with other users.

2.3 Fictitious Profiles (Bots): We may employ automated profiles ("Bots") or contracted staff for purposes including, but not limited to, monitoring compliance with these Terms, testing system functionality, stimulating conversation, or entertaining users. These profiles may not represent real individuals seeking dates. By using the Service, you acknowledge and accept that you may interact with such profiles.

3. User Conduct and Content

3.1 Acceptable Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You will interact with other users respectfully and courteously.

3.2 Prohibited Conduct: You agree NOT to use the Service to:

Harass, abuse, stalk, threaten, or defame any person or entity.
Transmit any content that is obscene, pornographic, violent, hateful, discriminatory, or otherwise offensive, as determined in our sole discretion.
Solicit money, financial information, or sensitive personal data from other users.
Promote or engage in prostitution, escort services, human trafficking, or any other commercial sexual activity.
Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
Upload or transmit any viruses, malware, or other malicious code.
Attempt to gain unauthorized access to the Service, other users' accounts, or our computer systems.
Scrape, datamine, or otherwise extract data from the Service for commercial purposes.
Use the Service for any commercial purpose, including advertising or promoting a business or service, without our express written consent.

3.3 User Content: You retain ownership of the photos, text, and other materials you upload or post to the Service ("User Content"). However, by posting User Content, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and promoting the Service.

3.4 Content Monitoring: We have the right, but not the obligation, to monitor, review, edit, or remove any User Content that we, in our sole discretion, determine violates these Terms or is otherwise objectionable. We are not responsible for the accuracy, completeness, or reliability of any User Content.

4. Purchases and Subscriptions

4.1 Credits and Subscriptions: Access to certain features of the Service, such as initiating messages, may require the purchase of virtual credits ("Credits") or a premium subscription. All purchases are final and non-refundable, except as required by applicable law.

4.2 Billing and Auto-Renewal: If you purchase a subscription, it will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date. You authorize us to charge your selected payment method for the renewal term. You can manage or cancel your subscription through your account settings.

4.3 Virtual Currency: Credits have no real-world monetary value and cannot be redeemed for cash or transferred to other users. We reserve the right to change the pricing of Credits and subscriptions at any time.

4.4 Discreet Billing: We strive to provide discreet billing descriptors on your credit card or bank statements. However, we cannot guarantee that your financial institution will not alter the descriptor. We are not liable for any consequences arising from the appearance of billing descriptors on your statements.

5. Privacy and Security

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose your personal information. While we implement security measures to protect your data, we cannot guarantee absolute security against unauthorized access or breaches. You provide your information at your own risk.

6. Termination

6.1 Termination by You: You may terminate your account at any time by following the instructions in your account settings or by contacting customer support. Deleting your account does not entitle you to a refund for unused Credits or subscription time.

6.2 Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, and for any reason, including but not limited to, a violation of these Terms or if we believe your conduct is harmful to the Service or other users.

6.3 Survival: Sections 3.3, 6, 7, 8, and 9 shall survive any termination of these Terms or your account.

7. Disclaimers and Limitations of Liability

7.1 "AS IS" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7.2 Assumption of Risk: YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE SERVICE, INCLUDING ALL RISKS ASSOCIATED WITH ONLINE AND OFFLINE INTERACTIONS WITH OTHER USERS. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER.

7.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUBY LIFE INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX (6) MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

8. Dispute Resolution and Arbitration

8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ruby Life Inc. is headquartered, without regard to its conflict of law principles.

8.2 Arbitration Agreement: YOU AND WE AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR THE USE OF THE SERVICE, SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT. The arbitration shall be administered by a recognized arbitration provider in accordance with its commercial arbitration rules.

8.3 Class Action Waiver: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9. General Provisions

9.1 Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

9.2 Modifications: We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Service or via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

9.3 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
